QUY ĐỊNH VỀ GIÁM ĐÓC THƯỜNG TRÚ
REGULATIONS GOVERNING THE RESIDENT DIRECTOR
I. Căn cứ pháp lý/ Legal grounds
- Luật Công ty Singapore năm 1967/ Companies Act 1967
II. Lý do chọn đề tài/ Rationale for choosing the topic
Within the organizational and governance structure of a company, the director is one of the most critical figures. The director manages daily operations, represents the company in commercial transactions, and bears ultimate responsibility for regulatory compliance. Consequently, the law mandates that a company must continuously maintain at least one resident director. This requirement not only satisfies structural organizational standards but also enables the enterprise to operate effectively under state supervision. The Companies Act 1967 stipulates that every company incorporated in Singapore must have at least one director who is ordinarily resident in Singapore. Furthermore, the Act sets forth the qualifications for appointment as a director, restrictions against resignation where such resignation would leave the company without a resident director, and statutory remedies applicable when a company lacks a resident director. These provisions reflect Singapore’s legislative policy of ensuring that every company maintains a managerial figure physically present in Singapore to discharge statutory obligations and assume responsibility for corporate activities. Evaluating the provisions of the Companies Act 1967 regarding the resident director holds both theoretical and practical significance. By examining these statutory provisions, this study elucidates the legal basis of the resident director, the prerequisite legal conditions for this office, the company’s obligation to maintain a resident director, and the implications of these rules for ensuring continuity in corporate governance, enhancing accountability, and elevating the efficiency of corporate law enforcement in Singapore.

IV. Cơ sở pháp lý về giám đốc thường trú/ Legal basis for the resident director
1. Khái niệm giám đốc thường trú/ Definition of a resident director
One of the most critical governance figures within a company is the director. The director executive-manages daily business operations and legally represents the company. Under the Companies Act 1967, every company must have at least one natural person director who satisfies statutory criteria to perform corporate management functions. The Companies Act 1967 not only stipulates the office of director but also explicitly requires a resident director. Pursuant to Section 145(1), every company shall have at least one director who is ordinarily resident in Singapore. This requirement applies to any company incorporated under the Companies Act 1967, regardless of its line of business or operational scale. The provision mandates that at least one managerial figure be physically present in Singapore to discharge the company’s statutory obligations, with the concept of ‘ordinarily resident in Singapore’ relating to the place of residence. Maintaining a resident director enables the enterprise to liaise with state regulatory authorities, fulfill legal obligations, and ensure uninterrupted corporate governance.
2. Mục đích của quy định về giám đốc thường trú/ The purpose of resident director regulations
The statutory mandate requiring every company to maintain at least one resident director reflects Singapore’s legislative policy of strengthening managerial accountability and enhancing corporate compliance capabilities. Under this requirement, an enterprise must continuously retain a managerial figure physically present within the jurisdiction to discharge obligations arising throughout its operational lifecycle and to facilitate seamless liaison with state regulatory authorities. Furthermore, regulations governing the resident director enhance governance stability. In scenarios where a company retains exclusively foreign-resident directors, navigating legal proceedings or discharging statutory duties can encounter substantial impediments. Consequently, the mandate ensures that the entity consistently maintains an in-jurisdiction manager capable of executing its legal responsibilities. Ultimately, this requirement elevates corporate transparency and fortifies regulatory oversight, establishing a robust legal framework to resolve operational issues in strict compliance with the Companies Act 1967.
V. Quy định về yêu cầu đối với giám đốc thường trú/ Statutory requirements for the resident director
1. Nghĩa vụ phải có ít nhất một giám đốc thường trú/ The obligation to maintain at least one resident director
Every company incorporated under the Companies Act 1967 must have at least one director who is ordinarily resident in Singapore. This constitutes a vital statutory obligation applicable throughout the company’s existence, ensuring that the enterprise continuously maintains a managerial figure physically present in Singapore to discharge statutory responsibilities. Pursuant to Section 145(1) of the Companies Act 1967, all companies shall maintain at least one director ordinarily resident in Singapore. Concurrently, the law permits the individual holding the office of resident director to serve as the sole member of the company in a single-member company structure. This provision ensures that enterprises possess flexibility in structuring their administration while remaining compliant with the resident director requirement. Singapore’s legislative policy mandates at least one resident director to guarantee that every entity continuously retains an in-jurisdiction manager to direct operations and legal representation within Singapore. Furthermore, this provides state regulatory authorities with a clear point of contact to execute supervisory functions, administrative duties, and address legal issues arising during corporate operations.
2. Điều kiện để được bổ nhiệm làm giám đốc/ Statutory qualifications for appointment as a director
In addition to the requirement of maintaining at least one resident director, the Companies Act 1967 stipulates baseline qualifications that an individual must satisfy to be appointed as a company director. Pursuant to Section 145(2), the office of director may only be held by a natural person who is at least 18 years of age and possesses full legal capacity. Under this provision, individuals appointed as directors cannot be minors or persons lacking legal capacity. This requirement is instituted to ensure that the officeholder possesses sufficient capacity to execute the powers and responsibilities associated with corporate management. Furthermore, it guarantees their capability to assume liability for decisions taken during operational management. This constitutes one of the foundational prerequisites designed to enhance the quality of corporate governance and safeguard the legitimate rights and interests of shareholders and relevant stakeholders
3. Nghĩa vụ duy trì liên tục chức danh giám đốc thường trú/ The obligation to continuously maintain the office of resident director
A resident director is required throughout the entire operational lifecycle of the company, not merely at the time of its incorporation. Consequently, the Companies Act 1967 establishes legal mechanisms to prevent a situation where a company is left without a resident director. Pursuant to Section 145(5), if a director’s resignation would result in the company having no director who is ordinarily resident in Singapore, that director shall not resign or vacate the office. Any resignation tendered in violation of this provision shall be invalid and legally ineffective. This statutory restriction is instituted precisely to avoid a vacancy in the office of resident director in Singapore. It is evident that the Companies Act 1967 not only mandates the initial appointment of a resident director but also constructs a legal mechanism to ensure that such maintenance remains continuous. This enhances the efficacy of administrative management and regulatory oversight by state authorities while safeguarding stability in corporate governance.
VI. Điều kiện, hạn chế và cơ chế bảo đảm duy trì giám đốc thường trú/ Conditions, restrictions, and enforcement mechanisms for maintaining a resident director
1. Quy định về việc từ chức của giám đốc thường trú/ Statutory provisions governing the resignation of the resident director
The Companies Act 1967 stipulates that a director’s right to resign is subject to specific statutory conditions to ensure the continuous maintenance of at least one resident director. Pursuant to Section 145(4A), a director possesses the authority to resign by issuing written notice to the company, unless the company’s constitution provides otherwise. Concurrently, Section 145(4B) establishes that a director’s resignation is not contingent upon the company’s acceptance. Consequently, a director may unilaterally terminate their office by delivering written notice without requiring corporate approval. However, the provision under Section 145(5) restricts this right of resignation. Under this subsection, if a resignation would leave the company without a director ordinarily resident in Singapore, the director shall not resign or vacate the office. Any resignation tendered in violation of this requirement shall be invalid and legally ineffective. This statutory restriction is instituted precisely to guarantee that the company at all times retains at least one resident director.
The provisions under Section 145 demonstrate that the Companies Act 1967 not only imposes an obligation to appoint a resident director, but also constructs a legal mechanism to ensure that this requirement is continuously maintained throughout the enterprise’s operational lifecycle. By imposing limitations on a director’s right to resign while clearly defining statutory exceptions, the law effectively mitigates the risk of a company falling into a state lacking an in-jurisdiction manager in Singapore. This contributes to safeguarding stability in corporate governance, enhancing managerial accountability, and enabling state regulatory authorities to effectively execute their supervisory functions over companies. Furthermore, these provisions serve to protect the rights and legitimate interests of shareholders, creditors, and relevant stakeholders, as the company consistently retains at least one resident director responsible for discharging legal obligations and representing the entity in legal relations arising under the law.
VII. Trách nhiệm của công ty trong việc duy trì giám đốc thường trú/ Corporate liabilities for failure to maintain a resident director
1. Trách nhiệm của công ty trong việc duy trì giám đốc thường trú/ Corporate liabilities for failure to maintain a resident director
Under the Companies Act 1967, every company is required to maintain at least one director who is ordinarily resident in Singapore. Consequently, the company bears the responsibility of ensuring that at least one qualified resident director is in place throughout its operational existence. This compliance obligation must be maintained for the entire lifecycle of the company, rather than solely upon its incorporation. The company must promptly appoint or retain another resident director whenever a change in management personnel occurs, thereby ensuring continuous compliance with Section 145. Concurrently, the company must ensure that any director’s resignation or vacation of office is executed in strict accordance with statutory provisions.
2. Ý nghĩa của việc duy trì giám đốc thường trú đối với quản trị doanh nghiệp/ Significance of maintaining a resident director for corporate governance
To ensure stability within the corporate governance structure, a company must maintain at least one resident director. The presence of a resident director guarantees that the entity consistently retains an in-jurisdiction managerial officer capable of discharging legal obligations, satisfying requirements imposed by state regulatory bodies, and addressing issues arising during ongoing operations. This mandate further enhances corporate accountability. In Singapore, the resident director serves as a primary managerial focal point, helping to ensure that governance decisions are executed in compliance with the law while facilitating inspection, examination, and oversight by competent authorities. Moreover, maintaining a resident director fosters confidence among shareholders, investors, and business partners when transacting with the company. An enterprise with a continuous managerial presence in Singapore assures the prompt resolution of legal and administrative matters, thereby contributing to a transparent and stable business environment.
VIII.
The resident director constitutes one of the pivotal legal requirements in corporate organizational structure and governance under the Companies Act 1967 of Singapore. By mandating that every company must at all times maintain at least one resident director in Singapore, the statute establishes a mechanism ensuring that the enterprise continuously retains an in-jurisdiction managerial officer present within Singapore’s territory to discharge legal obligations, represent the entity in relations with state authorities, and guarantee continuity in corporate governance operations. Through an analysis of the provisions under Section 145 of the Companies Act 1967, it becomes evident that the legislation not only imposes a requirement to appoint at least one resident director, but also sets forth specific qualifications for an individual to hold office, legal mechanisms to ensure the continuous maintenance of a resident director, and statutory limitations on resignation aimed at preventing a situation where an enterprise is left without an in-jurisdiction manager in Singapore. Together, these provisions constitute a relatively rigorous legal framework that contributes to safeguarding stability and continuity in corporate operations. Beyond ensuring the efficacy of state administration, the resident director requirement holds profound significance in enhancing corporate accountability. Retaining a continuous resident director strengthens the oversight capacity of competent authorities, facilitates the execution of legal procedures, and serves to protect the legitimate rights and interests of shareholders, creditors, and relevant stakeholders. This also serves as the foundation for building a transparent, stable, and highly accountable business environment. On the whole, the Companies Act 1967 has constructed a sound legal framework for the institution of the resident director, harmonizing structural management requirements with provisions designed to guarantee the uninterrupted maintenance of this office throughout the enterprise’s operational lifecycle. These provisions not only contribute to elevating the quality of corporate governance in Singapore, but also offer valuable legislative experience for referencing in the process of refining corporate law in Vietnam, particularly regarding the formulation of provisions on managerial liability and mechanisms to ensure continuity in corporate governance.
