Ở vị trí này, giám đốc có thể ảnh hưởng đến cách doanh nghiệp sử dụng tài sản và vốn của mình. Nếu không có cơ chế kiểm soát thích hợp, việc công ty cho giám đốc vay tiền hoặc thực hiện các giao dịch tín dụng vì lợi ích của giám đốc có thể dẫn đến xung đột lợi ích, làm thất thoát tài sản của công ty và ảnh hưởng đến quyền và lợi ích hợp pháp của cổ đông cũng như các chủ nợ.
