Mọi nhà đầu tư nước ngoài muốn thành lập doanh nghiệp, sở hữu tài sản, hoặc tiến hành các dự án trong những lĩnh vực được kiểm soát tại Belize đều cần xin Giấy phép đầu tư (Investment License) từ Belize Investment & Development Service (BIDS) hoặc Belize Trade and Investment Development Service (BELTRAIDE).
All foreign investors intending to establish businesses, own property, or engage in regulated sectors in Belize are required to obtain an Investment License from the Belize Investment & Development Service (BIDS) or the Belize Trade and Investment Development Service (BELTRAIDE).

2. Cơ sở pháp lý

Legal Basis

Thủ tục cấp phép đầu tư tại Belize được điều chỉnh bởi:

• Investment Promotion Act (Chương 270, sửa đổi năm 2020);
• Companies Act (Chương 250);
• Fiscal Incentives Act và các quy định liên quan đến ưu đãi đầu tư;
• Các văn bản hướng dẫn của BELTRAIDE.
  The investment licensing process in Belize is governed by:
• Investment Promotion Act (Chapter 270, Revised Edition 2020);
• Companies Act (Chapter 250);
• Fiscal Incentives Act and related investment regulations;
• BELTRAIDE’s guidelines and administrative circulars.

3. Đối tượng phải xin giấy phép đầu tư

Who Must Obtain an Investment License

Các nhà đầu tư nước ngoài hoặc tổ chức có vốn đầu tư nước ngoài cần giấy phép nếu thuộc một trong các trường hợp sau:

1. Thành lập công ty hoặc chi nhánh để hoạt động tại Belize;
2. Mua lại cổ phần của doanh nghiệp địa phương;
3. Đầu tư vào lĩnh vực có điều kiện như ngân hàng, bảo hiểm, viễn thông, năng lượng, hoặc khai thác tài nguyên;
4. Thực hiện dự án đầu tư có giá trị từ 500.000 USD trở lên.
   Foreign investors or foreign-funded entities must obtain an investment license if they:
5. Establish a company or branch to operate in Belize;
6. Acquire shares in a local company;
7. Invest in regulated sectors such as banking, insurance, telecommunications, energy, or natural resources;
8. Undertake investment projects valued at USD 500,000 or more.

4. Hồ sơ cần chuẩn bị

Required Documents

Hồ sơ xin cấp giấy phép đầu tư bao gồm:

1. Đơn xin cấp phép đầu tư (theo mẫu của BELTRAIDE);
2. Bản kế hoạch kinh doanh chi tiết (Business Plan) mô tả quy mô, lĩnh vực, vốn đầu tư, và tác động kinh tế – xã hội;
3. Bản sao hộ chiếu hoặc giấy phép cư trú của nhà đầu tư;
4. Giấy chứng nhận đăng ký công ty (nếu đã thành lập pháp nhân tại Belize hoặc nước ngoài);
5. Bằng chứng tài chính – sao kê ngân hàng hoặc thư bảo lãnh vốn;
6. Thư giới thiệu và hồ sơ năng lực của nhà đầu tư;

1. Các giấy phép môi trường hoặc đánh giá tác động (EIA) nếu dự án thuộc lĩnh vực có nguy cơ cao.
   The investment license application must include:
2. Investment License Application Form (provided by BELTRAIDE);
3. Detailed Business Plan outlining project scope, investment capital, sector, and expected economic impact;
4. Copy of passport or residence permit of the investor;
5. Certificate of Incorporation (if the entity is already registered in Belize or abroad);
6. Proof of financial capacity – recent bank statement or capital guarantee letter;
7. Reference letters and investor profile;
8. Environmental permits or Environmental Impact Assessment (EIA) if applicable.**

5. Quy trình cấp giấy phép đầu tư tại Belize

Investment License Application Process in Belize

Bước 1: Chuẩn bị hồ sơ
Nhà đầu tư chuẩn bị đầy đủ hồ sơ theo danh mục và gửi tới BELTRAIDE hoặc BIDS (qua email hoặc trực tiếp tại trụ sở tại Belmopan).
Step 1: Prepare Documentation
The investor compiles all required documents and submits them to BELTRAIDE or BIDS, either electronically or in person at the Belmopan office.**

Bước 2: Thẩm định hồ sơ và đánh giá dự án
Cơ quan cấp phép xem xét hồ sơ, kiểm tra năng lực tài chính, đánh giá tác động môi trường, xã hội và tính khả thi của dự án. Quá trình này thường kéo dài từ 2–4 tuần.
Step 2: Evaluation of Application
The licensing authority reviews the documents, assesses financial capacity, environmental and social impact, and project feasibility. This process typically takes 2–4 weeks.

Bước 3: Phỏng vấn hoặc yêu cầu bổ sung
Nhà đầu tư có thể được mời phỏng vấn hoặc cung cấp thêm tài liệu làm rõ kế hoạch đầu tư.
Step 3: Interview or Additional Information
The investor may be invited for an interview or asked to provide additional information to clarify the project details.**

Bước 4: Phê duyệt và cấp giấy phép đầu tư
Khi hồ sơ được chấp thuận, BELTRAIDE sẽ cấp Investment License có giá trị trong 5 năm và có thể gia hạn.
Step 4: Approval and Issuance of Investment License
Once approved, BELTRAIDE issues an Investment License valid for five (5) years, renewable upon application.**

Bước 5: Đăng ký thuế và hoạt động sau cấp phép
Sau khi có giấy phép, nhà đầu tư cần:

• Đăng ký mã số thuế (TIN) với Income Tax Department;
• Đăng ký với Companies Registry nếu chưa có pháp nhân;
• Mở tài khoản ngân hàng tại Belize;
• Nộp báo cáo định kỳ cho BELTRAIDE.
  Step 5: Tax Registration and Post-License Procedures
  After obtaining the license, the investor must:
• Register for a Tax Identification Number (TIN) with the Income Tax Department;
• Register with the Companies Registry if not already incorporated;
• Open a corporate bank account in Belize;
• Submit periodic investment progress reports to BELTRAIDE.**

6. Thời gian và lệ phí cấp phép

Processing Time and Government Fees

Thời gian xử lý thông thường: 2–6 tuần tùy quy mô dự án và mức độ hoàn thiện hồ sơ.
Normal processing time: 2–6 weeks, depending on project scale and completeness of documentation.

Administrative fees range from USD 500 to 1,500, depending on the investment sector. Certain industries such as energy, tourism, or finance may require additional evaluation fees.

7. Quyền lợi và ưu đãi của nhà đầu tư được cấp phép

Rights and Incentives of Licensed Investors

• Quyền sở hữu 100% vốn nước ngoài trong hầu hết các lĩnh vực (trừ đất nông nghiệp quy mô lớn).
  Right to 100% foreign ownership in most sectors (excluding large-scale agricultural land).
• Miễn thuế nhập khẩu thiết bị, nguyên liệu trong 5 năm đầu hoạt động.
  Exemption from import duties on equipment and raw materials for the first five years of operation.

• Miễn hoặc giảm thuế thu nhập doanh nghiệp theo chính sách Fiscal Incentives Program.
  Partial or full exemption from corporate income tax under the Fiscal Incentives Program.
• Bảo hộ đầu tư theo các hiệp định song phương mà Belize ký với nhiều quốc gia.
  Investment protection under bilateral investment treaties signed by Belize.**

8. Nghĩa vụ và tuân thủ của nhà đầu tư

Investor Obligations and Compliance

• Báo cáo tiến độ đầu tư hằng năm cho BELTRAIDE;
• Tuân thủ quy định về môi trường, lao động, và thuế;
• Gia hạn giấy phép trước khi hết hạn ít nhất 60 ngày;
• Không chuyển nhượng giấy phép mà không được phê duyệt.
  Investors must:
• Submit annual investment progress reports to BELTRAIDE;
• Comply with environmental, labor, and tax laws;
• Renew the license at least 60 days before expiration;
• Refrain from transferring the license without official approval.**
