1. Cơ sở pháp lý về tư cách cổ đông và quyền tiếp cận thông tin/ Legal basis for shareholder status and the right to information:

Pháp luật công ty Singapore sử dụng khái niệm “thành viên” để định nghĩa cổ đông. Theo Điều 19 Luật Công ty 1967, những người có tên trong hồ sơ đăng ký thành viên của công ty được ghi nhận là thành viên của công ty sau khi công ty được thành lập. Các quyền cơ bản của cổ đông, bao gồm quyền tiếp cận thông tin, làm cho việc xác định tư cách thành viên trở nên quan trọng. Pháp luật Singapore coi cổ đông không chỉ là chủ sở hữu phần vốn góp mà là thành viên của công ty. Việc minh bạch hóa thông tin về thành viên rất quan trọng vì nó không chỉ giúp xác định ai đang sở hữu công ty mà còn đảm bảo rằng các thành viên có quyền tham gia quản trị, biểu quyết và giám sát công ty.

2.1. Quyền tiếp cận Sổ đăng ký thành viên/ The right of access to the register of members:

Luật Công ty năm 1967 giao cho công ty trách nhiệm thiết lập và duy trì Sổ đăng ký thành viên, tài liệu pháp lý chính thức ghi nhận danh tính các thành viên của công ty. Đây không chỉ là nguồn thông tin cơ bản nhất để xác định tư cách của các cổ đông mà còn là cơ sở pháp lý cho quyền sở hữu cổ phần của từng thành viên.

Theo Điều 190 đến Điều 192 của Luật Công ty năm 1967, Sổ đăng ký thành viên phải được lập và lưu giữ theo quy định của pháp luật và bao gồm tất cả thông tin liên quan đến các thành viên của công ty. 3.1. Quyền tiếp cận báo cáo tài chính/ The right to Information on financial statements

Quyền được tiếp cận báo cáo tài chính là một trong những quyền quan trọng nhất của cổ đông theo Luật Công ty năm 1967. Theo Điều 201, Hội đồng quản trị có trách nhiệm lập báo cáo tài chính của công ty cho từng năm tài chính và trình báo cáo này trước Đại hội đồng cổ đông thường niên. Đối với công ty mẹ, ngoài báo cáo tài chính riêng, công ty còn phải lập và trình báo cáo tài chính hợp nhất của tập đoàn theo quy định của pháp luật.

Luật quy định báo cáo tài chính phải được lập phù hợp với các chuẩn mực kế toán được áp dụng tại Singapore và phải phản ánh trung thực, hợp lý tình hình tài chính cũng như kết quả hoạt động của công ty. 3.2. Quyền tiếp cận báo cáo kiểm toán/ The right of access to the auditor’s report

Luật Công ty năm 1967 quy định rằng báo cáo tài chính của các công ty thuộc đối tượng phải kiểm toán phải được kiểm toán trước khi được trình tại Đại hội đồng cổ đông để đảm bảo rằng thông tin tài chính là khách quan và tin cậy. Đồng thời, theo quy định của pháp luật, báo cáo kiểm toán phải được đính kèm hoặc xác nhận trên báo cáo tài chính khi gửi cho các cổ đông.

Theo Điều 207 của Luật Công ty năm 1967, kiểm toán viên phải lập báo cáo tài chính gửi đến tất cả các thành viên của công ty và, nếu công ty mẹ phải lập báo cáo tài chính hợp nhất, cả báo cáo tài chính hợp nhất của tập đoàn. Báo cáo kiểm toán phải nêu rõ ý kiến của kiểm toán viên về việc báo cáo tài chính có phản ánh trung thực và hợp lý tình hình tài chính và kết quả hoạt động của công ty hay không và có tuân thủ các quy tắc kế toán hay không. Việc pháp luật thiết lập cơ chế cho phép cổ đông truy cập thông tin cần thiết không chỉ bảo vệ quyền và lợi ích hợp pháp của họ mà còn nâng cao trách nhiệm giải trình của ban điều hành và hội đồng quản trị đối với hoạt động của công ty trong bối cảnh mô hình công ty hiện đại.
